Terms of Service

1. Acceptance of Terms

By downloading, installing, accessing, or using Persona AI ("the App"), developed and published by NERON ("we," "us," "our"), you ("User," "you," "your") agree to be legally bound by these Terms of Service ("Terms"). These Terms constitute a binding legal agreement between you and NERON. If you do not agree to these Terms in their entirety, you must immediately cease all use of the App and delete it from your device.

2. Description of Service

Persona AI is a character creation and content generation application that uses artificial intelligence to create digital characters with distinct visual styles, voices, and personalities. The App allows users to design characters, clone voices, train custom LoRA models, and produce AI-generated episodes and content.

Important: Persona AI relies on third-party AI services for image generation, voice synthesis, and model training. The quality and output of AI-generated content may vary and is subject to the capabilities and limitations of these services.

3. Eligibility

You must be at least 13 years of age to use the App. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the App, you represent and warrant that you meet these eligibility requirements.

4. Credits and Subscriptions

4.1 Credit System

Persona AI uses a credit-based system for AI generation features. Credits are consumed when you create characters, generate images, clone voices, train LoRA models, or produce episodes. Daily bonuses and streak rewards provide free credits to all users.

4.2 Subscription Plans

Subscriptions are auto-renewing. You will be charged through your Apple ID account. Subscriptions automatically renew unless cancelled at least 24 hours before the end of the current billing period.

4.3 Credit Expiration

Subscription credits are provided monthly and do not roll over to the next billing period. Daily bonus credits expire if not used within the specified timeframe shown in the App.

4.4 Billing and Processing

• All purchases are processed exclusively through the Apple App Store. We do not collect or store any payment information.
• Prices may vary by region and are subject to applicable taxes determined by Apple and your local jurisdiction.
• You can manage or cancel your subscription in your Apple ID settings at any time.

4.5 Refund Policy

All sales are final. We do not offer direct refunds. Refund requests must be directed to Apple through their standard refund process at reportaproblem.apple.com. Apple has sole discretion over whether to grant a refund per their refund policy.

5. Content Ownership and Rights

5.1 Your Characters and Content

You retain ownership rights to the characters you design, the scripts you write, and the creative concepts you develop within the App. This includes character names, descriptions, personality settings, and storylines you create.

5.2 AI-Generated Content

Images, voices, and episodes generated by the App's AI services are produced using third-party AI models. You are granted a non-exclusive license to use AI-generated content for personal and commercial purposes, subject to the limitations of the underlying AI service providers' terms.

5.3 App Ownership

The App, including its design, source code, user interface, graphics, and documentation, is owned by NERON and protected by copyright and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for personal purposes.

6. AI-Generated Content Guidelines

You acknowledge and agree that:

• AI-generated content may not always meet your expectations. Image quality, voice accuracy, and episode production quality may vary based on inputs and AI model capabilities.
• You are responsible for the content you create. Do not use the App to create content that impersonates real people without their consent, generates harmful or illegal content, or violates the rights of others.
• AI outputs may occasionally produce unexpected results. Despite safety measures, AI models may generate content that is inaccurate, biased, or inappropriate. We are not responsible for AI output content.
• Voice cloning requires ethical use. You may only clone your own voice or voices for which you have explicit permission from the voice owner. Using voice cloning to impersonate others without consent is prohibited.

7. User Responsibilities and Acceptable Use

By using Persona AI, you agree that:

• You will not use the App to create content that is illegal, harmful, threatening, abusive, defamatory, or that violates the rights of others.
• You will not attempt to reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App.
• You will not abuse the credit system, including creating multiple accounts to obtain additional free credits.
• You will not upload content that you do not have the right to use, including copyrighted images or recordings of others without permission.
• You are responsible for ensuring your use of AI-generated content complies with all applicable laws and regulations.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR QUALITY OF AI-GENERATED CONTENT.
• NERON SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP, INCLUDING BUT NOT LIMITED TO: DAMAGES ARISING FROM AI-GENERATED CONTENT; LOSS OF CREDITS; SERVICE INTERRUPTIONS; OR ANY ACTIONS TAKEN BASED ON AI OUTPUTS.
• IN NO EVENT SHALL NERON'S TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE APP IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

9. Indemnification

You agree to indemnify, defend, and hold harmless NERON, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the App; (b) your violation of these Terms; (c) content you create using the App; or (d) your violation of any rights of another party.

10. Data and Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the App, you consent to the collection and processing of data as described in the Privacy Policy, including the transmission of photos and voice recordings to third-party AI services for processing.

11. Termination

• You may terminate this agreement at any time by uninstalling the App from your device and cancelling any active subscriptions through your Apple ID settings.
• We reserve the right to suspend or terminate your access to the App if you violate these Terms, abuse the credit system, or use the App in a manner we deem harmful or inappropriate.
• We reserve the right to discontinue or modify the App, its features, or pricing at any time without prior notice or liability.
• Sections 5, 6, 8, and 9 shall survive termination of these Terms.

12. Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

13. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and NERON regarding the use of Persona AI and supersede all prior agreements, understandings, and communications, whether written or oral.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the App or our website. Your continued use of the App after any modification constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the App.
