Terms of Service

1. Acceptance of Terms

By downloading, installing, accessing, or using Cortis ("the App"), developed and published by NERON ("we," "us," "our"), you ("User," "you," "your") agree to be legally bound by these Terms of Service ("Terms"). These Terms constitute a binding legal agreement between you and NERON. If you do not agree to these Terms in their entirety, you must immediately cease all use of the App and delete it from your device.

2. Description of Service

Cortis is an on-device AI assistant that downloads and runs open-source large language models (LLMs) locally on your device. The App allows you to have AI-powered conversations processed entirely on your hardware without requiring an internet connection after the initial model download.

Important: Cortis is a tool that runs third-party AI models. We do not create, train, or control the AI models themselves. The quality, accuracy, and behavior of AI outputs depend on the underlying models, which are developed by third parties including Meta, Google, Alibaba, Microsoft, Mistral AI, and Hugging Face.

3. Eligibility

You must be at least 13 years of age to use the App. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf. By using the App, you represent and warrant that you meet these eligibility requirements.

4. Purchases and Payment

4.1 Free Tier

The free version of Cortis provides access to a limited set of AI models. The specific models available in the free tier may change at our discretion without notice.

4.2 Cortis Pro (Paid Upgrade)

Cortis Pro is a one-time, non-consumable in-app purchase that unlocks all available AI models and premium features. There are no subscriptions or recurring charges.

4.3 Billing and Processing

• All purchases are processed exclusively through the Apple App Store. We do not collect or store any payment information.
• Prices may vary by region and are subject to applicable taxes determined by Apple and your local jurisdiction.
• You can restore your purchase on any device signed into the same Apple ID at no additional cost.

4.4 Refund Policy

All sales are final. We do not offer direct refunds. Refund requests must be directed to Apple through their standard refund process at reportaproblem.apple.com. Apple has sole discretion over whether to grant a refund per their refund policy.

4.5 Price Changes

We reserve the right to change the price of Cortis Pro at any time. Price changes will not affect purchases already completed.

5. AI-Generated Content — Disclaimers and Risks

THIS IS A CRITICAL SECTION. PLEASE READ IT CAREFULLY.

Cortis runs AI models that generate text responses based on statistical patterns in training data. You acknowledge and agree that:

• AI outputs may be inaccurate, incomplete, misleading, or entirely fabricated ("hallucinations"). The App may generate content that appears factual but is incorrect. You must independently verify any information before relying on it.
• AI outputs do not constitute professional advice of any kind. This includes but is not limited to medical, legal, financial, tax, psychological, engineering, or safety advice. Never make important decisions based solely on AI-generated content.
• AI outputs may contain biased, offensive, or inappropriate content. Despite safety measures built into the models by their creators, AI responses may occasionally produce harmful, biased, or offensive content. We do not control and cannot guarantee the nature of AI outputs.
• AI model quality varies by device. Performance and output quality depend on your device's hardware (processor, RAM, available storage). Older or less powerful devices may produce lower quality responses or experience slower performance.
• You assume full responsibility for how you use AI outputs. Any actions you take based on AI-generated content are entirely at your own risk. NERON shall not be held liable for any consequences arising from your reliance on AI outputs.

6. User Responsibilities and Acceptable Use

By using Cortis, you agree that:

• You are solely responsible for all prompts you submit to the AI and how you use the generated responses.
• You will not use the App to generate content that is illegal, harmful, threatening, abusive, defamatory, or that violates the rights of others.
• You will not attempt to reverse-engineer, decompile, disassemble, or otherwise attempt to derive the source code of the App.
• You will not use the App in any manner that could damage, disable, overburden, or impair the App or interfere with any other party's use of the App.
• You acknowledge that AI model downloads may be large (up to 5.5 GB per model) and may consume significant bandwidth and device storage. You are responsible for any data charges incurred during downloads.
• You are responsible for ensuring your device meets the minimum requirements to run the App and downloaded models.

7. Intellectual Property

7.1 App Ownership

The App, including its design, source code, user interface, graphics, and documentation, is owned by NERON and protected by copyright and other intellectual property laws. You are granted a limited, non-exclusive, non-transferable, revocable license to use the App for personal, non-commercial purposes only.

7.2 AI Models

The AI models distributed through the App are open-source models created by third parties and are subject to their respective licenses (including but not limited to Llama Community License, Apache 2.0, Gemma Terms of Use, MIT License, and Qwen License). Your use of these models is governed by their original license terms, which you are responsible for reviewing and complying with.

7.3 Your Content

You retain ownership of the prompts you provide and the conversations you have with the AI. Since all processing occurs on your device, your content never leaves your device and is never accessed by NERON.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

• THE APP IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, OR ACCURACY OF AI-GENERATED CONTENT.
• NERON SHALL NOT BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF OR INABILITY TO USE THE APP, INCLUDING BUT NOT LIMITED TO: DAMAGES ARISING FROM AI-GENERATED CONTENT; LOSS OF DATA; DEVICE STORAGE CONSUMPTION; DEVICE PERFORMANCE ISSUES; OR ANY ACTIONS TAKEN BASED ON AI OUTPUTS.
• IN NO EVENT SHALL NERON'S TOTAL AGGREGATE LIABILITY EXCEED THE AMOUNT YOU ACTUALLY PAID FOR THE APP (IF ANY).
• NERON IS NOT RESPONSIBLE FOR ANY THIRD-PARTY AI MODELS, THEIR OUTPUTS, THEIR TRAINING DATA, OR ANY BIASES OR ERRORS CONTAINED THEREIN.

9. Indemnification

You agree to indemnify, defend, and hold harmless NERON, its officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the App; (b) your violation of these Terms; (c) your reliance on AI-generated content; or (d) any content you generate using the App.

10. Data and Privacy

Your use of the App is also governed by our Privacy Policy, which is incorporated into these Terms by reference. Cortis processes all data on-device and does not transmit your conversations or personal data to any external server. However, model downloads require an internet connection and standard network requests are made to download model files from third-party hosting providers.

11. Termination

• You may terminate this agreement at any time by uninstalling the App from your device. Uninstalling the App will permanently and irreversibly delete all local data, including your conversations, downloaded models, and settings.
• We reserve the right to discontinue or modify the App, its features, or the availability of specific AI models at any time without prior notice or liability.
• Your Cortis Pro purchase remains tied to your Apple ID and can be restored as long as the App remains available on the App Store.
• Sections 5, 7, 8, and 9 shall survive termination of these Terms.

12. Severability

If any provision of these Terms is held to be unenforceable or invalid, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

13. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and NERON regarding the use of Cortis and supersede all prior agreements, understandings, and communications, whether written or oral.

14. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated through the App or our website. Your continued use of the App after any modification constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the App.
